Additional Terms
In addition to the specific agreements outlined in the Scope of Work, both parties agree to the following terms. The parties will be referred to as Boaz Research (BZ) and your organization (Client):
Timely Payment. BZ will send electronic invoices to the Client provided billing email address with 15 days notice until payment due. BZ reserves the right to charge 5% per month if invoices are not paid on time. If chronic lack of payment occurs, BZ may suspend all project work until payments are made.
Single Point of Contact. To ensure successful communication, the Client will appoint a single point of contact to lead and represent the Client in this project.
Additional Expenses. The Client agrees to pay for additional expenses incurred by BZ employees and contractors as part of this work (ex: travel, authorized purchases etc.). These expenses will be billed separately from the fees outlined in this contract.
Intellectual Property Rights. The Client and BZ will have joint ownership of the research tools, data and findings obtained during any research. BZ will respect confidentiality of research subjects and will provide only non-identifying data to the Client. If participants opt-in to further research, BZ will have the right to invite those participants into future, unrelated research initiatives.
Case Study Usage. BZ retains the right to share high-level findings and/or outcomes gained during this project while maintaining sensitivity to the Client interest and confidentiality of research participants.
Cancellation. Either party may terminate this contract with 60 days written notice. Fees and additional expenses incurred up through those 60 days will be paid in full by the Client.
Proposal Expiration. BZ reserves the right to re-quote this proposal if not accepted within 60 days from the date presented to the Client.
